Acceptance
By accessing or using WaiverFlow (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms form a binding agreement between you and WaiverFlow, LLC ("WaiverFlow," "we," "us," or "our").
If you do not agree to these Terms, do not use the Service. If you are using WaiverFlow on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
The Service
WaiverFlow provides software tools for creating, sending, collecting, e-signing, and storing lien waivers used in the construction industry. The Service is designed to streamline waiver workflows for contractors, subcontractors, general contractors, and their office teams.
WaiverFlow is a workflow and document management tool — it is not a law firm and does not provide legal advice. The waiver templates we provide are based on common statutory requirements, but we make no guarantee that any specific waiver will be legally enforceable in any specific jurisdiction or circumstance. Account Registration
To use WaiverFlow, you must create an account. You agree to provide accurate, complete, and current information when registering, and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must be at least 18 years old to use the Service. If you are registering on behalf of a business, you represent that you are authorized to act on that business's behalf and to bind it to these Terms.
Notify us immediately at mike@waiverflow.io if you suspect unauthorized access to your account.
Free and Paid Plans
WaiverFlow offers two plans:
- Send (Free): Free forever. Allows you to create and send lien waivers to be signed by others. There is no time limit on the free plan and no credit card is required.
- Request ($29/month): Billed monthly. Allows you to request waivers from your own vendors, access bulk sending, auto-reminders, job-level tracking, and packaged PDF exports. The first 1,000 waivers per month are included; additional waivers are $0.50 each.
We reserve the right to change pricing with at least 30 days' advance notice to existing subscribers. Price changes will not take effect until your next billing cycle following the notice period. We do not provide refunds on monthly fees already charged.
Acceptable Use
You may use WaiverFlow only for lawful lien waiver workflows in connection with legitimate construction projects. You agree not to:
- Submit false or fraudulent waiver information, including incorrect amounts, project names, or signer identities.
- Use the Service to harass, defraud, or harm any person or entity.
- Attempt to reverse-engineer, decompile, scrape, or create derivative works from the Service or its underlying technology.
- Use automated means to access the Service in ways that are not authorized or intended.
- Use the Service in a way that violates any applicable law or regulation.
- Impersonate another person or entity when creating or signing waivers.
We reserve the right to suspend or terminate accounts that violate these use requirements, with or without prior notice depending on the severity of the violation.
E-Signatures
WaiverFlow's e-signature process captures the signer's typed full name, an explicit consent checkbox, their IP address, and a timestamp at the moment of signing. This information is embedded in the signed PDF and retained as part of the waiver record.
You are responsible for ensuring that your use of electronic signatures complies with the laws of the applicable state and any contractual requirements with your counterparties. Electronic signature laws vary by state, and some jurisdictions or counterparties may require wet ink signatures or notarization. WaiverFlow is a workflow tool and makes no legal guarantee that any particular e-signature will be enforceable in any particular legal proceeding. Consult a licensed attorney if you are uncertain about the requirements for your specific situation.
Your Data
You own your waiver data. WaiverFlow processes your data solely for the purpose of delivering the Service to you. We do not claim any ownership rights over your waiver documents, project information, or business data.
By using the Service, you grant WaiverFlow a limited license to process, store, and transmit your data as necessary to provide the Service. This license ends when you delete your account, subject to legal retention requirements. For more details on how we handle your data, see our Privacy Policy.
Intellectual Property
WaiverFlow, the WaiverFlow logo, and all related software, design, and content are the property of WaiverFlow, LLC and are protected by intellectual property laws. You may not use the WaiverFlow name, logo, or trademarks without our prior written permission.
We do not claim ownership of your waiver documents, your company name, or any content you upload or generate using the Service. Those remain yours.
Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that the Service will be available at all times, error-free, or that any particular waiver template will satisfy the legal requirements of your state or project. We do not guarantee the legal enforceability of any specific waiver generated or signed using WaiverFlow. For legal questions about lien waivers in your jurisdiction, consult a licensed attorney.
Limitation of Liability
To the fullest extent permitted by applicable law, WaiverFlow, LLC and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
In cases where liability cannot be fully disclaimed, WaiverFlow's total aggregate liability to you for any claim arising out of or related to these Terms or the Service is limited to the total fees you paid to WaiverFlow in the twelve months preceding the event giving rise to the claim.
Termination
You may cancel your account at any time from your account settings or by emailing mike@waiverflow.io. Cancellation of a paid plan takes effect at the end of the current billing period. You will retain access to the Service through the end of the period you have already paid for.
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. We will generally provide notice before terminating an account for policy violations, except in cases of serious or repeated violations.
After cancellation or termination, your waiver data will be available for export for 30 days. After that period, your data will be deleted from our systems, except where we are legally required to retain it.
